Seg\u00fan el art\u00edculo 5 de la Ley N.\u00ba 31\/1990, las sociedades se constituyen mediante contrato de sociedad o mediante contrato de sociedad y estatutos. El contrato de sociedad y los estatutos pueden formalizarse en un \u00fanico documento denominado acta constitutiva. Sin embargo, cuando se celebra \u00fanicamente un contrato de sociedad o solo los estatutos, estos tambi\u00e9n pueden denominarse acta constitutiva. As\u00ed, el acta constitutiva de una sociedad en nombre colectivo, en comandita simple o de responsabilidad limitada incluir\u00e1:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Datos de identificaci\u00f3n de los socios; en la sociedad en comandita simple tambi\u00e9n se indicar\u00e1n los socios comanditados.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Forma, denominaci\u00f3n y domicilio social.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Objeto de actividad de la sociedad, especificando el sector y la actividad principal.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Capital social suscrito, indicando la contribuci\u00f3n de cada socio en efectivo o en especie, el valor de la aportaci\u00f3n en especie y el m\u00e9todo de evaluaci\u00f3n; en las sociedades de responsabilidad limitada, se indicar\u00e1 el n\u00famero y el valor nominal de las participaciones, as\u00ed como la asignaci\u00f3n de las mismas a cada socio seg\u00fan su aportaci\u00f3n.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Forma de adopci\u00f3n de decisiones en la asamblea general de socios, incluyendo el voto de todos los socios en caso de igualdad de participaciones en el capital social.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Socios que representan y administran la sociedad o administradores no socios, sus datos de identificaci\u00f3n, duraci\u00f3n del mandato, poderes otorgados y si los ejercer\u00e1n conjunta o separadamente.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">En sociedades de responsabilidad limitada, si se designan censores o auditores financieros, se indicar\u00e1n los datos de identificaci\u00f3n de los primeros censores o del primer auditor financiero.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Participaci\u00f3n de cada socio en beneficios y p\u00e9rdidas.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Cuando proceda, datos de identificaci\u00f3n de los beneficiarios reales y la forma en que ejercen control sobre la sociedad.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Sucursales, agencias, representaciones o unidades similares sin personalidad jur\u00eddica, cuando se establezcan junto con la sociedad o se establezcan condiciones para su creaci\u00f3n posterior.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Duraci\u00f3n de la sociedad.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">M\u00e9todo de disoluci\u00f3n y liquidaci\u00f3n de la sociedad.<\/span><\/li>\n<\/ul>\n<h3><b>\u00bfQui\u00e9n emite el acta constitutiva\u00a0<\/b><b>en Ruman\u00eda<\/b><b>?<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Por lo general, el acta constitutiva es firmada por todos los socios de la sociedad o por los fundadores en caso de suscripci\u00f3n p\u00fablica. Se redacta bajo firma privada y adquiere fecha cierta al ser presentada en la oficina del registro mercantil. La forma aut\u00e9ntica es obligatoria solo en los siguientes casos expresamente previstos por la ley:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Cuando se aporten bienes inmuebles al capital social.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Cuando se constituya una sociedad en nombre colectivo o en comandita simple.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Cuando la sociedad an\u00f3nima se constituya mediante suscripci\u00f3n p\u00fablica.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Los signatarios del acta constitutiva son considerados fundadores. No pueden ser fundadores ni firmar el acta constitutiva las siguientes personas:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Personas que, seg\u00fan la ley, carecen de capacidad legal.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Personas a quienes, mediante sentencia judicial firme, se les haya prohibido ejercer la calidad de fundador como pena complementaria por delitos contra el patrimonio cometidos con abuso de confianza, delitos de corrupci\u00f3n, malversaci\u00f3n, falsificaci\u00f3n de documentos, evasi\u00f3n fiscal y delitos previstos en la Ley N.\u00ba 129\/2019 para la prevenci\u00f3n y lucha contra el blanqueo de capitales y la financiaci\u00f3n del terrorismo.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Al firmar el acta constitutiva, los fundadores asumen la responsabilidad del cumplimiento de los requisitos establecidos en el art\u00edculo 6 para la creaci\u00f3n de una sociedad, debiendo incluirse una cl\u00e1usula al respecto en el acta constitutiva.<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"<p>\u00bfQu\u00e9 es el acta constitutiva en Ruman\u00eda?
